All services are subject to written proposals, service agreements, statements of work, or project contracts where applicable.
2. Client Responsibilities
Clients agree to provide timely access to information, personnel, systems, and materials necessary to complete the agreed-upon project or engagement.
Delays caused by incomplete information, unavailable stakeholders, or lack of client participation may impact project timelines and deliverables.
3. Fees and Payment
Project fees, hourly rates, retainers, and payment schedules will be outlined in a written proposal, invoice, or service agreement.
Unless otherwise stated:
Invoices are due upon receipt.
Late payments may be subject to a 1.5% monthly finance charge or the maximum amount permitted by law.
Work may be paused until outstanding balances are paid.
Deposits and retainers are non-refundable once project work has commenced.
4. Project Changes and Scope Adjustments
Any changes to the originally agreed project scope may require additional fees and timeline adjustments.
Additional work requested beyond the original agreement will be billed at the applicable hourly or project rate unless otherwise agreed in writing.
5. Intellectual Property
Upon full payment, clients receive ownership of final training materials, curriculum content, and deliverables specifically created for their organization unless otherwise specified in a written agreement.
Dasia M. Johnson retains ownership of:
Proprietary methodologies
Templates
Frameworks
Assessment models
Training processes
Instructional design systems
Pre-existing intellectual property
Nothing in these Terms transfers ownership of proprietary tools or methodologies used in delivering services.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary, confidential, or sensitive business information disclosed during the engagement.
Confidential information will not be disclosed to third parties except as required by law or with written authorization from the disclosing party.
7. No Guarantee of Results
Training and consulting services are designed to improve employee knowledge, performance, adoption, and organizational effectiveness.
However, business outcomes depend on many factors beyond the Consultant's control, including leadership implementation, employee participation, organizational culture, market conditions, and operational execution.
Therefore, Dasia M. Johnson makes no guarantees regarding specific financial results, sales increases, retention rates, operational improvements, or business outcomes.
8. Cancellation and Termination
Either party may terminate a project or service engagement upon written notice.
Clients remain responsible for payment of all completed work, delivered materials, incurred expenses, and scheduled consulting time up to the termination date.
Any prepaid services already rendered are non-refundable.
9. Limitation of Liability
To the maximum extent permitted by law, Dasia M. Johnson shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from the use of this Website or the services provided.
The Consultant's total liability under any claim shall not exceed the total amount paid by the client for the specific engagement giving rise to the claim.
